These Terms of Service ("Terms") govern your use of the Bi·Catalyst website at https://bicatalyst.ch/ and any consulting services provided by Bi·Catalyst ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Scope and Applicability

These Terms apply to all visitors of our website and to all clients who engage Bi·Catalyst for consulting services. Separate service agreements may apply to specific engagements and shall take precedence over these Terms where expressly stated.

Services Description

Bi·Catalyst provides technology consulting, AI integration, workflow automation, CEO support, and virtual assistant services for Swiss SMEs. The specific scope, deliverables, and timelines for each engagement are defined in individual service agreements or statements of work.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

Intellectual Property

Our Property

All content on this website — including text, graphics, logos, design elements, and software — is the property of Bi·Catalyst or its licensors and is protected by Swiss and international copyright laws. You may not reproduce, distribute, or create derivative works from our website content without prior written consent.

Client Deliverables

Unless otherwise agreed in a service agreement, intellectual property rights in custom deliverables created for a client during an engagement transfer to the client upon full payment of all applicable fees. Bi·Catalyst retains the right to use general knowledge, skills, techniques, and methodologies gained during any engagement.

Open-Source Components

Where deliverables include open-source software components, such components remain subject to their respective open-source licences. Bi·Catalyst will identify any open-source components included in deliverables.

Limitation of Liability

To the maximum extent permitted by Swiss law:

• Bi·Catalyst shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services.
• Our total liability for any claim related to our services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.
• We do not warrant that our website will be available at all times without interruption or error.

Payment Terms

Unless otherwise agreed in a service agreement:

• Invoices are payable within 30 days of the invoice date.
• All prices are stated in Swiss Francs (CHF) and are exclusive of VAT where applicable.
• Late payments are subject to statutory interest under Swiss law.
• We reserve the right to suspend services in the event of overdue payments after written notice.

Confidentiality

Both parties agree to treat as confidential any proprietary or non-public information received from the other party during an engagement. This obligation survives the termination of any service agreement for a period of two (2) years, unless a longer period is specified in the applicable service agreement.

Data Protection

Our collection and processing of personal data is governed by our Privacy Policy and complies with the Swiss Federal Act on Data Protection (nDSG/DSG) and, where applicable, the EU General Data Protection Regulation (GDPR).

Termination

Either party may terminate a service engagement in accordance with the terms set out in the applicable service agreement. In the absence of specific termination provisions, either party may terminate with 30 days' written notice.

Upon termination, each party shall return or destroy any confidential information belonging to the other party, and all outstanding fees for services rendered shall become immediately due.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Switzerland. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Lucerne, Switzerland.

Changes to These Terms

We may update these Terms from time to time. The "Updated" date at the top of this document indicates when the last revision was made. Continued use of our website or services after any changes constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
